1. About YaviOS
YaviOS is a lending management software platform operated by Yavi Innovations LLC ("we", "us", "our"). By accessing yavios.com, requesting a demo, or using the YaviOS platform, you agree to these Terms of Service.
2. Platform Access
YaviOS is provided as a software-as-a-service (SaaS) platform on a subscription basis. Access is granted to your organisation and authorised users only. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
3. Subscription and Billing
Platform access is subject to an active subscription. Subscription fees are charged on a monthly or annual basis as agreed at the time of onboarding. One-time onboarding fees are non-refundable. Monthly subscriptions may be cancelled with 30 days' notice. Annual subscriptions are non-refundable except at our discretion.
4. Acceptable Use
You agree to use the YaviOS platform only for lawful purposes and in accordance with these Terms. You must not: • Use the platform for any purpose other than your organisation's legitimate lending operations. • Attempt to gain unauthorised access to any part of the platform or its infrastructure. • Introduce malicious code, viruses, or any content that could harm the platform or other users. • Resell, sublicense, or otherwise transfer access to the platform to third parties without our written consent.
5. Data Ownership
All data entered into the YaviOS platform by your organisation (customer records, loan data, documents) remains your property. We process this data solely on your behalf as a data processor. You are responsible for ensuring that you have the necessary consents and legal basis to process your customers' data using our platform.
6. Intellectual Property
All software, designs, trademarks, and content forming part of the YaviOS platform are the property of Yavi Innovations LLC. These Terms do not grant you any ownership rights in the platform. You may not copy, modify, reverse-engineer, or create derivative works from any part of the platform.
7. Service Availability
We aim to maintain platform availability of 99.9% uptime. Scheduled maintenance will be communicated in advance where possible. We are not liable for temporary interruptions due to circumstances beyond our reasonable control.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Yavi Innovations LLC shall not be liable for any indirect, incidental, consequential, or special damages arising from your use of the platform. Our total liability for any claim shall not exceed the subscription fees paid by your organisation in the three months preceding the claim.
9. Termination
Either party may terminate the subscription in accordance with the agreed notice period. Upon termination, you will have 30 days to export your data. After this period, your data will be securely deleted from our systems.
10. Governing Law
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email with at least 30 days' notice. Continued use of the platform after the effective date of changes constitutes acceptance.
